Terms of Service

1. Agreement to Terms

By accessing or using the website and services of Grid Digital Inc. ("Grid Digital," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Grid Digital provides custom web development, mobile application development, and IT consulting services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate Statement of Work (SOW) or service agreement. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. License to Use Website

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our website for your personal or internal business purposes. You agree not to use the website for any other purpose.

4. Prohibited Actions

You agree not to, and will not assist others to:

  • Violate any applicable local, provincial, national, or international law or regulation.
  • Use our services for any unlawful or fraudulent purpose.
  • Attempt to gain unauthorized access to our website, servers, networks, or user accounts.
  • Interfere with or disrupt the proper functioning of our website or services.
  • Copy, modify, create derivative works of, or reverse engineer any portion of our website or services.
  • Transmit any viruses, malware, or other harmful code.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and timely information necessary for project completion.
  • Ensure you have the necessary rights and licenses for any content or materials provided to us.
  • Respond to requests for feedback and approvals in a timely manner.
  • Make payments according to the agreed-upon schedule.

6. Intellectual Property Rights

Client Ownership: Upon full payment of all fees, you will own the final deliverables specifically created for your project, as defined in your SOW.

Grid Digital Ownership: We retain all rights, title, and interest in and to our pre-existing intellectual property, tools, frameworks, methodologies, code libraries, and general knowledge used in the creation of the deliverables.

Third-Party Assets: Any third-party software, tools, or assets used in your project remain the property of their respective owners and are subject to their own licensing terms.

7. Payment Terms

Invoicing: Payment terms will be specified in your project agreement. Invoices are generally due within 15-30 days of receipt.

Late Payments: We reserve the right to suspend services for accounts that are past due. Late payments may incur interest charges at the maximum rate permitted by law.

Refunds: All fees are non-refundable unless otherwise explicitly stated in your service agreement.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information ("Confidential Information") shared during the engagement. This obligation survives the termination of the service agreement. Neither party will disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law.

9. Disclaimer of Warranties

OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRID DIGITAL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO GRID DIGITAL INC. IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

11. Termination

Either party may terminate the service agreement with written notice as specified in your SOW.

Effect of Termination: Upon termination, you must pay for all work completed up to the termination date. We will deliver all completed work products upon receipt of payment.

Suspension: We may suspend or terminate your access to our website or services immediately, without notice, if we believe you have violated these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. You irrevocably submit to the exclusive jurisdiction of the courts located in Montreal, Quebec, for the resolution of any disputes.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms.
